By accessing or using the YoZombie platform ("YoZombie," "we," "us," or "our"), these Terms of Service ("Terms") govern access to and use of the YoZombie platform and related services (the “Platform”).
These Terms form a binding legal agreement between the Worker, also referred to as a Gig Worker, and YoZombie, L.L.C. These Terms apply only to individuals using the Platform to view, accept, perform, and complete short-term contract work opportunities (“Gigs”). Businesses that post Gigs are governed by the YoZombie Terms of Service for Businesses, and Personal Users who post residential Gigs are governed by the YoZombie Terms of Service for Personal Users.
Marketplace Notice: YoZombie operates a technology marketplace that connects Workers with the people and businesses who need them. Workers use the same Worker account to view and accept Business and Residential Gigs. YoZombie is not a party to any agreement between a Posting Party and a Worker, does not provide the services offered in any Gig, and does not supervise, direct, or control how a Worker performs any Gig.
By accessing or using the Platform, the Worker acknowledges having read, understood, and agreed to be bound by these Terms, including any future modifications. If these Terms are not accepted, the Platform must not be used.
These Terms describe what can be expected from YoZombie, what is expected from Workers, and the mutual responsibilities that allow the Platform to function fairly, securely, and in compliance with applicable law.
YoZombie, L.L.C. is organized under the laws of the State of Maryland and operates in accordance with applicable U.S. federal and state laws and regulations.
Important Notice: Nothing in these Terms creates an employment, agency, or partnership relationship between the Worker, any Posting Party, and YoZombie. YoZombie does not employ Workers. Workers are responsible for their own taxes, insurance, permits, and compliance with applicable law; a Worker’s legal classification in relation to a Posting Party depends on the actual relationship, the work performed, the level of control, and applicable law.
2. Age Requirements
You must be at least 18 years old to create a Worker account or use the YoZombie Platform to accept or perform gigs. By using YoZombie, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms and binding Gig agreements.
If you are under 18, you are not permitted to register, access, or use the Platform in any capacity. YoZombie does not knowingly allow minors to participate in gig-related work or contractual activities. If YoZombie becomes aware a Worker is under 18, YoZombie may suspend or terminate the account.
By continuing to use the Platform, you affirm that you meet the age and legal capacity requirements set forth in these Terms.
3. Definitions
For clarity and consistency, the following definitions apply throughout these Terms of Service for Workers. Each defined term is capitalized when used in this Agreement. These definitions are intended to ensure that YoZombie, L.L.C. and Workers share a common understanding of the terms governing use of the Platform.
“Worker” refers to any individual who registers for a Worker account and uses the YoZombie Platform to view, accept, perform, and complete Gigs posted by a Posting Party (a Business or a Personal User). YoZombie does not employ the Worker. Workers are not employees, agents, or representatives of YoZombie or any Posting Party. The Worker’s legal classification in relation to a Posting Party depends on the actual relationship, the work performed, the level of control, and applicable law.
“Business” means a person or entity that registers for a Business account and uses the Platform for a commercial, professional, organizational, or business purpose to post, manage, or pay for Gigs performed by Workers.
“Personal User” means an individual using a Personal account to post a Gig for a personal, household, or residential need.
“Posting Party” or “Poster” means either a Business or a Personal User that posts a Gig.
“Business Gig” means a Gig posted through a Business account.
“Residential Gig” means a fixed-price Gig posted through a Personal account and displayed to Workers as Residential.
“QR-Required Residential Gig” means a Residential Gig that requires the Worker to scan the Personal User’s check-in QR before beginning work and that is completed through the checkout QR or direct poster confirmation.
“Remote Residential Gig” means a Residential Gig that does not use check-in or checkout QR codes and is completed through Worker submission and Personal User acceptance.
“Transaction Fees” means applicable processing, payment, transfer, payout, banking, card-network, or similar fees charged by Stripe or another payment provider. The Posting Party is responsible for Transaction Fees associated with charging or funding the Gig; the Worker is responsible for Transaction Fees associated with receiving, transferring, or paying out Worker Pay or other Worker payments. YoZombie does not absorb or reimburse Transaction Fees unless it expressly states otherwise.
“Gig” refers to a short-term, temporary, or on-demand work opportunity created by a Posting Party through the Platform and accepted by one Worker. Each Gig currently permits only one assigned Worker. Gigs may include, but are not limited to, general labor, event staffing, delivery, customer assistance, setup or teardown work, or other defined tasks.
“Marketplace” means the technology platform operated by YoZombie that enables Posting Parties and Workers to connect, communicate, and enter into arrangements directly with each other for the performance of Gigs. YoZombie is not a party to any agreement between a Posting Party and a Worker.
“Platform” or “YoZombie Platform” means the proprietary software, mobile application, website, and associated services operated by YoZombie, L.L.C. to facilitate connections, communication, and payments between Posting Parties and Workers.
“Platform Fee” means the flat fee charged by YoZombie to the Posting Party for each Gig, as disclosed at the time of posting. Platform Fees are retained by YoZombie, L.L.C. for platform maintenance and operations and do not constitute wages or compensation to Workers.
“Worker Pay” means the gross amount offered by a Posting Party and accepted by a Worker for completing a Gig. Worker Pay is processed through Stripe Connect and paid out to the Worker, and the Worker may receive that amount less applicable receiver-side Transaction Fees, subject to Stripe processing timelines and any applicable holds, disputes, chargebacks, or compliance requirements.
“Stripe Connect” refers to the third-party payment processing service integrated into the YoZombie Platform that facilitates payment authorization, processing, payouts, and refunds (as applicable) between Businesses, Workers, and YoZombie. Use of Stripe Connect is governed by Stripe’s own terms and privacy policy. YoZombie does not act as a bank, money transmitter, or escrow agent and does not take custody of funds.
“User Content” means any text, photos, videos, reviews, ratings, messages, or other materials uploaded, submitted, or transmitted by a Worker through the Platform.
“Account” means the registered Worker profile created to access and use the YoZombie Platform, which includes information such as the Worker’s name, contact details, payment information, and work history.
“You” or “Your” refers to the Worker accessing or using the YoZombie Platform under these Terms.
These definitions apply equally to singular and plural forms and include all grammatical variations. Any term not expressly defined in this section shall be interpreted according to its ordinary meaning within the context of this Agreement.

5. Relationship of the Parties
5.1 Independent Contractor Relationship
YoZombie operates solely as a neutral technology marketplace that connects Workers with Posting Parties for short-term Gig opportunities. Nothing in these Terms or in use of the Platform shall be construed to create any relationship of employment, agency, partnership, or joint venture between YoZombie and any Worker or Posting Party.
Each Worker acknowledges and agrees that:
- Workers generally use the Platform to enter independently agreed service arrangements. Whether a Worker is legally classified as an independent contractor, employee, or another category depends on the full legal relationship, the nature of the work, and applicable law.
- YoZombie does not control or direct the manner or means by which Workers perform services.
- Workers have full discretion to accept or reject Gigs. Once accepted, services are performed using the Worker’s own judgment, subject to the Gig’s stated scope, schedule, location, and requirements.
- Posting Parties have no authority to act on behalf of YoZombie, and YoZombie has no authority to act on behalf of any Worker.
5.2 Separate Agreements
When a Worker accepts a Gig posted by a Posting Party, a separate, direct contractual relationship is formed between that Worker and the Posting Party. YoZombie is not a party to that agreement and assumes no responsibility for the performance, quality, timeliness, or outcome of any services performed.
5.3 No Employment or Benefits
YoZombie does not provide Workers with wages, employment benefits, workers’ compensation, unemployment insurance, or other employment coverage. Whether a Posting Party owes any employment-related rights, taxes, coverage, insurance, or benefits depends on the actual relationship and applicable law. Workers are responsible for their own income reporting, tax payments, and insurance.
5.4 No Background Checks or YoZombie Identity Verification
YoZombie does not independently verify or guarantee a Worker’s identity and does not conduct criminal background checks, reference checks, employment screenings, or suitability determinations. Stripe may collect or verify information required to establish and maintain a connected payout account. Stripe’s payment-account verification is not a YoZombie background check or a representation that a Worker is safe, qualified, trustworthy, or accurately identified. Posting Parties are responsible for their own assessment of Worker suitability and may conduct their own vetting independently.
5.5 Taxes and Withholdings
YoZombie does not withhold or remit taxes on behalf of any Worker, and Workers are responsible for reporting and paying all applicable taxes. Stripe may provide tax-information collection, calculation, filing, or delivery tools; the party legally responsible for issuing any tax form, the form type, and the applicable reporting threshold depend on the Stripe Connect configuration, payment structure, governing law, and then-current legal requirements. YoZombie may issue or facilitate any tax documentation it is legally required to provide, and does not provide tax advice.
5.6 Acknowledgment
Use of the Platform constitutes acknowledgment that YoZombie’s role is limited to facilitating introductions, communications, and payment processing through third-party providers. All employment, tax, and legal obligations rest solely with the contracting parties—the Worker and the Posting Party.
6. Using the Platform (Gigs, Payments, and Stripe Connect)
6.1 Overview
YoZombie provides a digital platform that allows Workers to browse, accept, and complete short-term work opportunities (“Gigs”) posted by Businesses and Personal Users. Workers have full discretion to choose which Gigs to accept. Once a Gig is accepted, the Gig is performed according to the Gig’s stated scope, schedule, location, and requirements.
YoZombie does not guarantee any minimum number of Gigs, income level, or ongoing work availability.
6.2 Accepting Gigs
When a Worker accepts a Gig, the Worker is responsible for reviewing the Gig details (including pay, scope, location, start/end time, and requirements) before accepting, and for communicating through in-app messaging as needed.
Each accepted Gig forms a direct contract between the Worker and the Posting Party. YoZombie is not a party to that contract.
6.3 Payments Processed Through Stripe Connect (Funds Hold and Payout)
All Gig payments are processed through Stripe Connect (a third-party payment processor). YoZombie does not act as a bank, money transmitter, or escrow agent, and YoZombie does not take custody of Worker funds.
To receive payouts, a Worker must maintain a connected Stripe account and provide accurate information required by Stripe (including identity and bank details).
At posting, Stripe processes the Posting Party’s charge for the Gig, including Worker Pay, the Platform Fee, and applicable payer-side Transaction Fees. The portion designated as Worker Pay is not transferred to the Worker’s connected account until the applicable completion or payment-release condition occurs.
Completion and payout initiation. When the applicable completion action occurs (Business checkout, Residential QR checkout or poster confirmation, or Residential Remote acceptance), Stripe initiates the transfer of Worker Pay to the Worker’s connected account and YoZombie retains its Platform Fee. Worker Pay remains subject to applicable receiver-side Transaction Fees, Stripe processing timelines, risk controls, reversals, and applicable law. The platform charge and the connected-account transfer are separate Stripe operations. If the applicable completion action does not occur, payment is not automatically released and the Gig may require further action or review (see Section 11).
Timing. Any payout timing estimates shown in the app are informational only and not guaranteed.
6.4 Failed, Delayed, or Reversed Payments
YoZombie is not responsible for delays, failures, or reversals caused by Stripe, banks, card networks, incorrect payout details, chargebacks, compliance reviews, or risk controls. If a payment issue arises (including suspected fraud or a dispute), YoZombie may take Platform actions such as pausing completion, restricting account access, and requesting additional information.
6.5 Fraud and Policy Violations
YoZombie may suspend, limit, or terminate access to the Platform where YoZombie reasonably suspects fraud, repeated abuse, or violations of these Terms.
6.6 Payment Records
Payment history and payout status are available in the Worker dashboard. All payments are processed in U.S. Dollars (USD).
6.7 Taxes and Reporting
Taxes and tax reporting are handled as described in Section 5.5 (Taxes and Withholdings). Workers are responsible for reporting and paying all applicable taxes.
6.8 Non-Circumvention
Workers must not solicit or accept off-platform payments for any Gig posted, accepted, or performed through YoZombie.
6.9 Direct Offers, Rosters, and Vacation Mode
Businesses and Personal Users may privately save Workers for future direct Gig offers. A Worker may accept or decline any direct offer without penalty. A roster save does not create employment, exclusivity, an ongoing relationship, or any obligation to accept future work. A Business roster save may affect the Worker’s public “Trusted by Businesses” count; a Personal User’s save to My Workers remains private and does not change any public count. When Vacation Mode is enabled, the Worker will not receive new Business or Residential direct offers; Vacation Mode does not cancel already accepted Gigs.
7. Worker Classification
7.1 Independent Contractor Status
YoZombie does not employ the Worker, and the Platform is designed to support independently agreed service arrangements. A Worker’s legal classification in relation to a Business or other Posting Party depends on the actual relationship, the work performed, the level of control, and applicable law.
YoZombie provides technology that connects Posting Parties with Workers for short-term contract work opportunities (“Gigs”). YoZombie does not hire, manage, or supervise Workers, and does not control how work is performed.
7.2 No Employment Relationship
YoZombie does not employ Workers. Whether a Worker is an employee of a Posting Party depends on the actual relationship and applicable law. In all events:
- No wages, benefits, or insurance coverage are provided by YoZombie.
- No federal, state, or local employment taxes are withheld or paid by YoZombie.
- YoZombie does not provide workers’ compensation, unemployment insurance, or other employment-related benefits; whether a Posting Party must provide any depends on the actual relationship and applicable law.
- Each accepted Gig represents a separate, independent contract between the Worker and the Posting Party.
7.3 Control of Work
Workers determine their own methods, tools, and manner of performance to complete Gigs, subject only to the Gig’s stated scope, schedule, location, legitimate coordination requirements, and applicable safety requirements. Posting Parties must not impose control beyond what is reasonably necessary for coordination, safety, and completion of the Gig as described.
7.4 Right to Work for Others
Workers are free to perform services for any other company or client. These Terms do not create exclusivity requirements.
7.5 Compliance and Classification Responsibilities
Posting Parties are responsible for their own compliance with applicable tax, labor, and worker-classification laws for engagements with Workers. Nothing in these Terms is intended to require or encourage any Posting Party to misclassify any Worker.
7.6 Tax Responsibility and Reporting
Worker obligations. Workers are solely responsible for reporting and paying all required income and self-employment taxes and maintaining accurate tax records.
Tax forms. Stripe may provide tax-information tools; the party legally responsible for issuing any tax form, the form type, and the applicable thresholds depend on the Stripe Connect configuration, payment structure, and applicable law. YoZombie does not provide tax advice.
YoZombie’s role. YoZombie does not withhold or remit taxes. If YoZombie ever makes a payment directly to a Worker outside the Stripe Connect flow (for example, promotional incentives or referral bonuses), YoZombie may issue any required tax documentation where legally required.
Backup withholding. Stripe or the applicable payment entity may apply backup withholding where required by law or if valid tax information is not provided.
7.7 No Agency or Partnership
Nothing in these Terms creates a partnership, joint venture, franchise, or agency relationship between YoZombie, any Posting Party, or any Worker. No party has authority to bind another.
8. Gigs, Payments, and Completion Terms
8.1 Overview
Workers may browse and accept short-term work opportunities (“Gigs”) posted by Posting Parties through the YoZombie Platform. Each Gig includes details such as Worker Pay, location, schedule, and any stated requirements. Acceptance of a Gig constitutes agreement to perform the Gig in good faith as described and to maintain professionalism and safety during the engagement.
8.2 Gig Acceptance and Commitment
- Workers are under no obligation to accept any Gig.
- Once a Gig is accepted, the Worker agrees to perform the listed work in good faith and complete it according to the Gig’s description and stated requirements.
- A Worker may cancel a Gig before it starts, but repeated or last-minute cancellations (see Section 9) may result in account suspension or other Platform actions.
- Failure to appear for an accepted Gig may result in forfeiture of Worker Pay and account suspension or other Platform actions.
- Each accepted Gig forms a direct contract between the Worker and the Posting Party. YoZombie is not a party to that contract.
8.3 Payment Flow via Stripe Connect
All Gig payments are processed through Stripe Connect (a third-party payment processor):
- The Posting Party authorizes Stripe to charge the amounts due for the Gig (including Worker Pay, the applicable Platform Fee, and applicable payer-side Transaction Fees) in accordance with the Gig details shown at the time of posting and acceptance.
- The portion designated as Worker Pay is not transferred to the Worker’s connected account until the applicable completion or payment-release condition occurs.
- When the applicable completion action occurs, Stripe initiates the transfer of Worker Pay to the Worker’s connected account while YoZombie retains its Platform Fee, subject to Stripe’s processing rules, Transaction Fees, reversals, and applicable law.
- YoZombie does not act as a bank, money transmitter, or escrow agent and does not take custody of Worker funds.
- Any payout timing estimates shown in the Platform are informational only and not guaranteed.
8.4 Checkout and Confirmation of Completion
For a Business Gig, completion is confirmed by the Business through the Platform’s checkout flow — the Worker scans the checkout QR code, or the Business taps Confirm Completion in the app. Residential Gigs are completed as described in Section 11 (Residential QR and Remote completion). Business checkout confirmation is the normal trigger for release of Worker Pay for Business Gigs, and Workers should use the Platform’s start and checkout steps properly for every Gig.
If checkout is not completed, no automatic payout is made to the Worker and no automatic refund is issued to the Posting Party; the Gig is treated as unresolved or pending, and either party may report the issue under Section 11 (Gig Completion, Checkout, and Reporting Issues). YoZombie may review relevant Platform records (including start and checkout data, activity logs, and in-app messages) solely for purposes of Platform administration and report handling, consistent with Section 11.
8.5 Late Cancellation Payment
If a Business cancels a Business Gig within one (1) hour before its scheduled start time after a Worker has accepted, the Worker will receive a $15 late-cancellation payment through Stripe Connect. If a Personal User cancels a Residential Gig within one (1) hour before its scheduled start time after a Worker has accepted, the Worker will receive a $10 late-cancellation payment. These are the only ordinary pre-start cancellation payments; otherwise no partial payment applies unless required by applicable law or determined appropriate through the Platform report-review process. No Worker Pay is earned merely for accepting a Gig, reserving time, traveling, or arriving; payment requires the applicable completion action, except for a defined late-cancellation payment.
8.6 Chargebacks and Disputes
If a Posting Party initiates a chargeback or payment dispute, YoZombie may cooperate with Stripe and provide relevant Platform records. Stripe and/or the applicable payment entity may restrict, delay, or reverse funds during review. If a payment is reversed due to fraud, a chargeback, or policy violations, the Worker may be required to return the disputed amount, including through deductions from future payouts where permitted by Stripe and applicable law.
8.7 Taxes and Reporting
Workers are solely responsible for reporting and paying all applicable taxes, including income and self-employment taxes. Tax reporting is handled as described in Section 5.5, and YoZombie does not provide tax advice.
8.8 No Guarantee of Work
YoZombie is a neutral technology marketplace and does not guarantee any minimum number of Gigs, earnings, or specific results. Gig availability depends on Posting Party demand, Worker availability, and marketplace activity.
8.9 Currency
All payments, fees, and refunds are processed in U.S. Dollars (USD). Any currency conversions, if applicable, are governed by Stripe and the Worker’s financial institution.
9. Platform Fee Structure
9.1 Fee Overview
Each Gig listed on the Platform displays the Worker Pay amount offered by the Posting Party for that Gig. The Worker may receive Worker Pay less applicable receiver-side Transaction Fees, in accordance with Stripe’s then-current terms and the Worker’s payment method or bank. The same applies to any $15 Business late-cancellation payment, $10 Personal late-cancellation payment, referral payment, or other payment received by the Worker.
Platform Fees are paid by the Posting Party—not by the Worker.
9.2 Fee Transparency
The Posting Party pays a flat Platform Fee for each Gig at the time of posting, as shown in the Platform:
Platform Fees are charged to support Platform operations, payment processing, trust and safety controls, referral programs, and infrastructure costs.
9.3 No Worker Deductions
Worker Pay is the amount offered and accepted for completing a Gig. YoZombie does not deduct Platform Fees or referral payouts from Worker Pay.
Stripe and/or the applicable payment entity may apply processing, payout, banking, or other fees (if applicable) in accordance with Stripe’s terms and the Worker’s payment method or bank.
9.4 Timing of Payments
When a Posting Party posts a Gig, Stripe processes the charge for amounts due (including Worker Pay, the Platform Fee, and applicable payer-side Transaction Fees). The portion designated as Worker Pay is not transferred to the Worker’s connected account until the applicable completion or payment-release condition occurs.
When the applicable completion action occurs, Stripe initiates the transfer of Worker Pay to the Worker’s connected account while YoZombie retains its Platform Fee, subject to Stripe’s processing timelines, Transaction Fees, and applicable law. YoZombie does not act as a bank, money transmitter, or escrow agent and does not take custody of Worker funds.
9.5 What the Platform Fee Covers
The Platform Fee (paid by the Posting Party) supports, among other things:
- Stripe integration, payment-flow administration, and payout facilitation, excluding Transaction Fees assigned to the Posting Party or Worker under these Terms
- Referral programs and incentives (where offered)
- Platform maintenance, messaging systems, and cloud infrastructure
- Administrative, safety, fraud-prevention, and compliance costs
9.6 Tax Handling
Workers are responsible for their own taxes. YoZombie does not withhold or remit taxes and does not provide tax advice. Tax reporting is handled as described in Section 5.5.
9.7 Fee Changes (Notice)
If YoZombie updates its Platform Fee structure, such changes affect only the posting side (Businesses and Personal Users). YoZombie may notify Workers if changes indirectly impact how Gigs are displayed or processed. Worker Pay for each Gig will remain clearly visible in the Platform before acceptance.
9.8 Worker Referral Program
YoZombie may offer a Worker referral program. When a Worker the referrer validly referred completes a qualifying Gig, the referrer may earn $2. Both completed Business Gigs and completed Residential Gigs qualify. Referral payments are funded from YoZombie revenue and never from Worker Pay. No referral payment is made for canceled, refunded, reversed, fraudulent, test, or unpaid Gigs. Self-referral is prohibited, and duplicate or manipulated referrals may be rejected. To earn, the referring Worker must maintain an eligible account in good standing and a reliability level of at least 50%. Referral payments may be subject to receiver-side Transaction Fees and applicable tax reporting. If the referring Worker deletes the account, future referral earnings stop and revert to YoZombie; referral amounts already completed and paid are not reversed solely because of a later deletion.
9.9 Optional Worker Tip to YoZombie
After a completed Gig, YoZombie may offer the Worker an optional opportunity to make a voluntary payment or tip to YoZombie. Any such tip is never required, is not automatically deducted from Worker Pay, does not affect Platform access, ratings, trust, recommendations, or future Gigs, and requires the Worker’s express authorization. Applicable payer-side Transaction Fees may be disclosed and charged as part of that transaction.
10. Gig Cancellation and No-Show Policy
10.0 Key Definitions
“Scheduled Start Time” means the start time shown in the Platform for the Gig (as determined by Platform records and server timestamps).
“Late Cancellation Window” means less than one (1) hour before the Scheduled Start Time.
“Business No-Show Window” means the first eighteen (18) minutes after the Scheduled Start Time for a Business Gig (unless the Platform displays a different window for a specific Gig).
“Residential QR No-Check-In Window” means the period beginning one (1) hour after the Scheduled Start Time for a QR-required Residential Gig when no valid check-in exists.
“Residential Remote Missed-Completion Window” means the period beginning one (1) hour after the requested completion time for a Remote Residential Gig when no completed Gig has been submitted.
10.1 Business-Initiated Cancellations (Business Gigs)
A Business may cancel a Gig prior to its Scheduled Start Time. If a Worker accepted the Gig:
- More than one (1) hour before start: no cancellation payment is due to the Worker.
- Less than one (1) hour before start: the Worker will receive a $15 late-cancellation payment for that Gig, processed through Stripe Connect and subject to Stripe processing and banking timelines.
10.1a Personal-Initiated Cancellations (Residential Gigs)
- A Personal User may cancel a Residential Gig before its Scheduled Start Time. If a Worker has accepted and the Personal User cancels more than one (1) hour before start, no cancellation payment is due to the Worker.
- If the Personal User cancels within one (1) hour before start after a Worker has accepted, the Worker receives a $10 late-cancellation payment.
- QR no-check-in: for a QR-required Residential Gig, the Worker must scan in before starting. Beginning one (1) hour after the Scheduled Start Time, if no valid check-in exists, the Personal User may cancel; in that case the Worker receives no payment because the cancellation is based on failure to check in. If the Personal User has not canceled, the Worker may still check in late and proceed. Once the Personal User cancels, the check-in QR is disabled.
- Remote missed completion: for a Remote Residential Gig, the Worker is expected to submit completion by the requested completion time. Beginning one (1) hour after that time, if no completed Gig has been submitted, the Personal User may cancel and the Worker receives no payment. Once the Worker submits completion, that cancellation option disappears.
10.2 Worker-Initiated Cancellations
If a Worker cancels after accepting a Gig, the Worker will not be paid for that Gig. Repeated or last-minute cancellations may result in account limits, suspension, or removal to protect marketplace reliability.
After a valid Business start record, a Residential QR check-in, or another approved start action has been recorded, the Worker may not use the ordinary pre-start cancellation process. If the Worker cannot continue safely or lawfully, the Worker should stop, communicate through the Platform, and use Report an Issue when appropriate. Likewise, a Posting Party cannot use an ordinary no-check-in cancellation after a valid check-in.
10.3 No-Show / Failure to Check In (QR Check-In Requirement)
For a Business Gig that requires QR check-in, if the Worker does not successfully check in within the Business No-Show Window, the Business may finalize the Gig as a Worker No-Show. If the Business finalizes the No-Show, the Worker receives no payment and the Business’s refund is governed by the Business Terms. A Worker may submit a report if the result is believed to involve a platform error or inaccurate check-in record.
10.4 YoZombie-Initiated Cancellations
YoZombie may cancel a Gig where YoZombie reasonably suspects fraud, abuse, safety risks, violations of these Terms or Stripe policies, or where technical or payment failures occur. If a Gig is canceled for reasons unrelated to Worker conduct, YoZombie may determine in good faith whether any payment, partial payment, or credit applies based on confirmed work performed and available evidence, for purposes of Platform administration.
10.5 Payment Timing
Any cancellation payments, including the $15 Business late-cancellation payment and the $10 Personal late-cancellation payment, are processed through Stripe Connect and may be reduced by applicable receiver-side Transaction Fees. Stripe and banking timelines may affect when funds appear.
10.6 Force Majeure
YoZombie is not liable for cancellations or payment delays caused by events beyond reasonable control (e.g., severe weather, natural disasters, outages, or government actions). YoZombie may waive fees or provide credits in its discretion.
10.7 Platform Role / No Guaranteed Outcomes
YoZombie acts as a neutral technology platform facilitating marketplace activity and payment processing through third parties. Except as required by law, YoZombie is not responsible for losses or missed earnings due to cancellations, rescheduling, or third-party payment delays. Any decisions YoZombie makes under this Section apply for purposes of Platform administration and do not waive rights either party may have under applicable law.
11. Gig Completion, Checkout, and Reporting Issues
11.1 Checkout and Payment Release
For a Business Gig, the Business is the party purchasing the work and normally confirms completion through the Platform’s checkout flow — the Worker scans the checkout QR code, or the Business taps Confirm Completion in the app. Either action initiates the transfer of Worker Pay to the Worker’s connected account while YoZombie retains its Platform Fee, subject to Stripe processing timelines, Transaction Fees, and applicable holds. Residential Gigs are completed under Sections 11.1a and 11.1b.
11.1a Residential QR-Required Gigs
Before beginning a QR-required Residential Gig, the Worker must scan the Personal User’s check-in QR code and must not begin work before a successful check-in. When the work is finished, the Gig is completed when either the Worker scans the Personal User’s checkout QR code, or the Personal User taps Confirm Completion in the app. Either action initiates release of Worker Pay and prevents a second completion action. Check-in alone does not release payment. If neither completion action occurs, there is no automatic Worker payment and no automatic poster refund; the Gig remains Completion Pending, and the parties should communicate through the Platform or use Report an Issue when appropriate.
11.1b Remote (No-QR) Residential Gigs
A Remote Residential Gig does not use check-in or checkout QR codes. The Worker completes the stated work and submits the completed Gig through the Platform, with any optional photos or completion note. Submission changes the Gig to Awaiting Poster Acceptance but does not release payment. Payment is released after the Personal User taps Accept Gig as Completed. If the Personal User does not accept and the Worker believes the work was completed, the Worker may use Report an Issue; there is no automatic timeout payment.
If the applicable completion action does not occur, payment is not automatically released, no automatic refund is issued to the Posting Party, and the Gig may require further communication or review. A Gig without the applicable completion action is treated as unresolved or pending and is not automatically decided in favor of either side. Worker Pay is not released solely because the Worker claims the work was completed; payment release requires the applicable Business checkout, Residential QR completion, Residential poster confirmation, or Residential Remote acceptance unless YoZombie takes another payment action under these Terms.
After payout is initiated or made available by Stripe, transactions are generally final except to the extent a later adjustment or refund is required or permitted by Stripe rules, applicable law, or a binding legal process under Section 17 (Governing Law and Arbitration).
11.2 Reporting an Issue (Not Dispute Resolution)
The Platform provides a “Report an Issue” feature. YoZombie provides the Platform; Posting Parties and Workers are responsible for the Gigs they agree to. YoZombie is not a general dispute-resolution service, does not act as a court or arbitration service for ordinary work disagreements, and does not guarantee the outcome of ordinary Gig disagreements. Ordinary Gig issues should first be handled directly between the Worker and the Posting Party through in-app messaging.
A Worker may submit a report if, for example:
a Business or Personal User refuses to confirm or accept completed work, or a Remote Residential completion was not accepted;
the Posting Party materially changed the job after acceptance or arrival, or misrepresented the Gig scope or pay terms;
a QR, checkout, or app malfunction occurred, or another platform error prevented check-in, checkout, or submission;
unsafe conditions, harassment, threats, or abusive conduct occurred; or
fraud, payment abuse, or other misuse of the Platform occurred.
Reports should be submitted through the in-app report form promptly, and ideally within forty-eight (48) hours of the scheduled completion time. Reports or complaints submitted outside the Platform (for example, by email or phone) may not be treated as reports under these Terms. Submitting a report does not guarantee payment or any particular outcome; reports may be reviewed for platform misuse, payment abuse, safety issues, fraud, or repeated bad conduct.
11.3 Review and Information
Administrative review is intentionally limited in scope. Its purpose is to protect the marketplace, address platform and payment-flow problems, and identify fraud, safety risks, payment abuse, and repeated bad conduct — not to referee every ordinary work disagreement.
During review, YoZombie may request additional information and may review relevant Platform records (including start and checkout status, check-in data, activity logs, payment status, cancellation timing, prior reports, and in-app messages) for purposes of Platform administration. Stripe and/or the applicable payment entity may restrict, delay, or hold availability of related funds pending resolution.
11.4 Review Outcomes
Based on the available information and the Platform rules, YoZombie may in good faith take actions such as: no action or monitoring; private administrative notes; warnings; restriction, suspension, or removal of accounts; releasing payment to the Worker when appropriate under the Platform rules; refunding the Posting Party in whole or in part when appropriate under the Platform rules; partial payment or partial refund where supported by the Platform process; or marking the Gig as a platform error, resolved, or unresolved. These decisions are made for purposes of Platform administration, are not legal judgments, and do not waive any rights either party may have under applicable law.
If a Worker disagrees with an outcome, the Worker may pursue the process described in Section 17 (Governing Law and Arbitration).
11.5 Timing and Notification
YoZombie may review reports as reasonably practicable based on seriousness, available information, payment status, Platform risk, and operational capacity. No specific review time or outcome is guaranteed. YoZombie may prioritize reports involving immediate safety concerns, fraud, active payment abuse, or unlawful conduct.
Updates and outcomes will be provided through the Platform and may also be sent to the registered email address. Once finalized for Platform administration purposes, funds may be released to the Worker, refunded to the Posting Party, or adjusted, depending on the outcome.
After resolution, the report is considered closed for purposes of Platform administration.
11.6 Arbitration Option
If a Worker disagrees with YoZombie’s final decision, the Worker may pursue binding arbitration as outlined in Section 17 (Governing Law and Arbitration). YoZombie’s internal records and investigation file may be submitted in arbitration proceedings.
12. Rating and Trust System
12.1 Overview
YoZombie uses a reputation-based trust system to promote fairness, reliability, and accountability between Workers and Posting Parties. After each completed Gig, both parties may answer a single feedback question with Yes, No, or Skip. The Worker is asked “Would you work with [Business Name] again?” for Business Gigs and “Would you work with [Poster Name] again?” for Residential Gigs.
12.2 How Posting Parties Rate Workers
For a Business Gig, the Business answers Yes, No, or Skip.
- A Business Yes is recorded privately and does not by itself change any public count. After a Yes, the Business may save the Worker to its roster; only a Business roster save increases the Worker’s public “Trusted by [N] Businesses” count. Each Business counts once, and removing the Worker from the roster decreases the count by one.
- A No is private and admin-only. Skip is neutral and excluded from the Yes/No calculation. Neither changes any public count.
- For a Residential Gig, a Personal User may privately save the Worker to My Workers. A Personal save allows future direct Residential offers, does not increase the public “Trusted by Businesses” count, and is not publicly visible.
When at least 40% of a party’s last 15 rated Gigs are No answers, the account enters the admin review queue for review only; this does not automatically suspend, remove, or reduce the visibility of an account. Businesses and Personal Users are expected to provide ratings that are honest, fair, and non-discriminatory.
12.3 How Workers Rate Posting Parties
A Worker may rate the Posting Party after each completed Gig by answering “Would you work with [Business Name] again?” for a Business Gig or “Would you work with [Poster Name] again?” for a Residential Gig.
- Businesses and Personal Users do not display a public trust count. Worker feedback about a poster is recorded privately for YoZombie’s admin oversight.
- A No is private and counts toward the 40%-of-the-last-15-rated-Gigs threshold. A separate serious safety, fraud, harassment, or payment-abuse report may trigger review independently under Section 11.
YoZombie may restrict or suspend poster accounts that show repeated patterns of misconduct or unsafe or abusive behavior toward Workers, for purposes of Platform administration and safety.
12.4 Display and Data Retention
Worker profiles display a public “Trusted by [N] Businesses” count that reflects Business roster saves only. Businesses and Personal Users do not display a public trust count.
YoZombie may retain anonymized rating and trust data for fraud prevention, trust and safety analysis, quality control, and Platform integrity, to the extent permitted by applicable law.
If an Account is deleted:
- Personally identifiable information associated with the Account is deleted or anonymized in accordance with these Terms and applicable law; and
- Anonymized rating and trust data may be retained for Platform analytics and integrity purposes.
12.5 Prohibited Conduct
Manipulating or interfering with the trust system is prohibited. Prohibited actions include:
- Creating fake Gigs or colluding to boost ratings.
- Offering incentives or rewards for positive ratings.
- Leaving retaliatory, false, or discriminatory feedback.
- Using multiple Accounts to manipulate trust data.
YoZombie reserves the right to remove, disregard, or take Platform action regarding any rating activity that violates these Terms or undermines Platform integrity.
12.6 Platform Oversight
Ratings reflect user opinions and are not verified statements of fact. YoZombie does not independently verify ratings and is not responsible for reputational or financial impacts resulting from user-generated feedback. YoZombie may, in its discretion, remove or anonymize rating-related content or take Platform action if content is reasonably believed to be false, discriminatory, abusive, or otherwise harmful to Platform integrity or safety, for purposes of Platform administration.
13. Privacy and Data Use
13.1 Data Collection and Purpose
YoZombie collects information reasonably necessary to operate, improve, and secure the Platform. This may include:
- Account details (such as name, email, phone number, and payment-account onboarding and verification information handled by Stripe or another provider, where required);
- Gig participation history, payments status, and in-app communication records;
- Device, usage, and activity data used for fraud prevention, security, analytics, and service improvement.
Information is used for Platform functionality, payment facilitation through third parties, dispute resolution, compliance, trust and safety, and performance and integrity monitoring. YoZombie does not sell personal data.
13.2 Payment Information
Payment processing and related tax reporting data are handled through Stripe Connect. YoZombie does not store full card numbers, full bank routing details, or taxpayer identification numbers.
Stripe’s systems are responsible for safeguarding payment credentials. Tax-information collection, reporting, filing, or delivery may be handled by Stripe, YoZombie, or another applicable entity as described in Section 5.5 and as required by law.
13.3 Data Hosting and Security
YoZombie uses Firebase (Google Cloud Platform) for authentication, database, and hosting. YoZombie applies administrative, technical, and physical safeguards designed to protect information against unauthorized access, disclosure, alteration, or destruction. Access to Worker data is restricted to authorized personnel for legitimate business purposes and subject to confidentiality obligations.
13.4 Communication and Messaging
All communication between Workers and Posting Parties must occur through the in-app messaging system. Sharing personal contact information or communicating outside the Platform to circumvent Platform rules is prohibited.
Messages are encrypted in transit and stored for purposes such as dispute resolution, fraud prevention, trust and safety, and Platform integrity. YoZombie does not routinely review message content, but may use automated tools and/or human review to investigate suspected fraud, abuse, policy violations, safety issues, or legal violations and to enforce these Terms.
All accepted Gigs open a Gig-specific message thread between the Worker and the Posting Party. After completion, the thread remains open for new messages for 24 hours and then becomes read-only. When a Gig is canceled, the thread closes to new messages when the cancellation is completed; read-only history may remain available subject to retention and deletion rules. For Residential Gigs, the Worker sees the individual poster’s displayed name rather than a company profile.
13.5 Data Sharing and Legal Disclosure
YoZombie may share limited information:
- as required by law (for example, in response to a valid court order, subpoena, or other legal process); and/or
- with vetted service providers that support Platform operations (for example, hosting, analytics, payment-account onboarding or verification services provided by Stripe or another payment provider, payment facilitation, fraud prevention, or customer support), subject to confidentiality obligations and data protection terms.
13.6 Breach Notification
If YoZombie becomes aware of a data breach that may compromise user information, YoZombie will notify affected users and/or regulators as required by applicable law and will take reasonable steps to mitigate potential risks.
13.7 User Rights and Data Requests
Workers may request access to, correction of, or deletion of personal data by contacting support@yozombie.com. Requests may be denied or delayed where information must be retained for legitimate business purposes or legal obligations, including:
- active or pending disputes, chargebacks, or investigations;
- payment settlement processes or retention required by Stripe or other applicable payment entities; or
- fraud prevention, audit, security, or legal compliance requirements.
13.8 Data Retention
YoZombie retains Worker data only for as long as reasonably necessary to operate the Platform, resolve disputes, prevent fraud, and comply with applicable legal, tax, and record-keeping obligations. Information is deleted or anonymized when no longer needed for lawful business purposes, subject to Stripe’s and other third-party retention requirements where applicable.
13.9 Cross-Border Transfers and Compliance
Data may be stored or processed in the United States or other jurisdictions where YoZombie or its service providers operate. YoZombie applies data protection measures consistent with applicable U.S. law and, where applicable, relevant privacy principles (including transparency, purpose limitation, and data minimization).
13.10 Limitation of Liability (Data Security)
While YoZombie uses safeguards designed to protect information, no system is completely immune from unauthorized access or breaches. To the fullest extent permitted by law, YoZombie disclaims liability for damages resulting from unauthorized access, loss, or alteration of data, except to the extent caused by YoZombie’s gross negligence or willful misconduct.
14. Account Deletion
14.1 Right to Request Deletion
Workers may request deletion of a YoZombie Account at any time using the in-app deletion feature or by emailing support@yozombie.com.
Deletion requests must originate from the registered Account email address and may require reasonable account-ownership confirmation to prevent unauthorized deletion.
14.2 Legal and Operational Limitations
YoZombie may delay or deny deletion until the following conditions are satisfied:
- Any accepted or in-progress Gig, any Gig beginning within sixty (60) minutes, any pending Business or Residential completion, and any Remote completion submission awaiting poster acceptance have been completed, canceled, or resolved;
- All pending Worker Pay, unsettled $15 or $10 late-cancellation payments, pending referral payments, and Stripe transfers, payouts, refunds, reversals, or chargebacks are final;
- All open reports, Trust and Safety reviews, investigations, and any legal hold have concluded; and
- Applicable laws and record-keeping obligations permit deletion or anonymization of the requested data.
If deletion is delayed, YoZombie will provide notice and a brief explanation of the reason for the delay.
14.3 Consequences of Deletion
Once deletion is processed:
- Personally identifiable information (PII) that is not required for legal, compliance, dispute-resolution, fraud-prevention, or record-keeping purposes (for example, profile photos, marketing preferences, and certain in-app content) will be deleted or anonymized within YoZombie systems, consistent with these Terms and applicable law.
- Minimal identifying and transactional data may be securely retained only to the extent reasonably necessary to:
- reconcile payments and comply with audit and financial record-keeping requirements;
- resolve disputes, chargebacks, and fraud or safety issues; and
- maintain Platform integrity and trust-and-safety controls.
- Payment and certain identity verification data processed by Stripe Connect (or other third-party providers) remains subject to those providers’ retention and compliance requirements.
- Aggregated or anonymized analytics data may be retained for Platform performance, reliability, and statistical purposes.
Message content associated with retained Gigs may remain in anonymized form for payment records, audit, Trust and Safety, fraud prevention, legal compliance, and chargeback defense. If a referring Worker deletes the account, future referral earnings stop and revert to YoZombie; referral amounts already completed and paid are not reversed solely because of the deletion.
- Account access is revoked upon deletion and cannot be restored. To use the Platform again, a new registration, onboarding, and any applicable payment-provider requirements apply.
14.4 Irreversible Nature of Deletion
Account deletion is final. To use the Platform again after deletion, a new registration, onboarding, and any applicable payment-provider requirements apply.
14.5 Retention and Compliance Framework
YoZombie retains only the minimal identifying, operational, and transactional information reasonably necessary to operate the Platform; complete transactions; prevent fraud and abuse; resolve disputes; enforce the Terms; and comply with applicable legal, tax, and record-keeping obligations. Payment and identity information processed through Stripe Connect is subject to Stripe’s policies and compliance requirements. YoZombie deletes or anonymizes information when it is no longer needed for lawful business purposes or required retention, subject to backups, audit logging, and legal holds. Where feasible, YoZombie uses data minimization and de-identification/anonymization to reduce the amount of information retained and the time it is retained.
15. Prohibited Uses
15.1 General Restrictions
Use of the YoZombie Platform, Services, or related systems must not:
- Violate any applicable law, regulation, or court order;
- Infringe any third party’s intellectual property, privacy, or publicity rights;
- Bypass, disable, or interfere with Platform controls, payment systems, payment-account onboarding or verification services provided by Stripe or another payment provider, or security measures;
- Post, transmit, or store material that is unlawful, defamatory, obscene, hateful, violent, harassing, or otherwise prohibited;
- Engage in or facilitate fraudulent, deceptive, or abusive behavior, including misrepresentation of identity, falsifying time worked, or submitting false completion confirmations;
- Use bots, scripts, scraping, or automation to manipulate Gigs, ratings, data, or system functions;
- Attempt to access, copy, disrupt, or compromise any Account, server, network, or database connected to the Platform; or
- Upload or transmit viruses, malware, ransomware, or other harmful code.
15.2 AI and Automated Manipulation Restrictions
Workers must not:
- Use artificial intelligence or automation tools to submit false evidence, generate inauthentic messages, reviews, or ratings, or otherwise misrepresent participation or performance;
- Create or use “deepfake” materials, synthetic identities, or impersonation techniques to mislead others; or
- Use Platform data (including user data, Gig data, or message content) for AI training, dataset collection, or machine-learning purposes without prior written approval from YoZombie.
15.3 Payment Integrity
Workers must not:
- Solicit or accept off-Platform payments for any Gig posted, accepted, or performed through YoZombie;
- Circumvent or interfere with Stripe Connect’s payment processing, authorization, payout, dispute, or refund mechanisms;
- Submit false completion confirmations or manipulate payment status; or
- Collude with Posting Parties or other Workers to alter, inflate, withhold, or misrepresent payments or Gig outcomes.
15.4 Platform Integrity and Security
Reverse engineering, copying, decompiling, or commercial exploitation of YoZombie’s proprietary software, databases, or algorithms is prohibited, except to the extent permitted by applicable law.
YoZombie may use automated tools and/or manual review to identify, investigate, and prevent prohibited or suspicious behavior for purposes of Platform administration, safety, fraud prevention, and compliance.
15.5 Platform Monitoring and Limited Review
YoZombie does not guarantee continuous monitoring of all Platform activity and is not responsible for user-generated content or misconduct by third parties. However, YoZombie may review activity, investigate reports, take Platform action, and cooperate with law enforcement where YoZombie reasonably believes violations, fraud, safety risks, or legal compliance obligations are implicated.
15.6 Consequences of Violation
Violations of these Terms may result in Platform actions including:
- Account limitations, suspension, or termination;
- Removal of content, Gigs, ratings, or listings;
- Restriction, delay, or reversal of payouts to the extent permitted by Stripe policies and applicable law (including where fraud, chargebacks, disputes, or policy violations are involved); and/or
- Legal action or referral to law enforcement where appropriate.
YoZombie will determine, in good faith and for purposes of Platform administration, whether conduct violates these Terms.
16. Liability and Indemnification
16.1 Marketplace Role; No Employment Relationship
YoZombie operates a technology marketplace that connects Workers with the Businesses and Personal Users who post Gigs. YoZombie is not a party to any agreement between a Worker and a Posting Party and does not supervise, direct, or control any work performed.
Accordingly, to the fullest extent permitted by applicable law, YoZombie is not liable for:
- actions, omissions, or representations made by a Posting Party or Worker; or
- disputes, injuries, losses, damages, or claims arising out of or related to engagements initiated through the Platform.
Workers acknowledge responsibility for their own work decisions, tools, insurance where applicable, permits, and tax obligations, subject to the legal classification and obligations that apply to the actual relationship.
Workers further acknowledge that employment classification for any specific Gig depends on the full nature of the relationship with the Posting Party, and that YoZombie does not control or guarantee how any Gig engagement may be classified under applicable law.
16.2 Platform Provided “As Is”
To the fullest extent permitted by applicable law, YoZombie provides the Platform and Services on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.
YoZombie does not warrant that:
- the Platform will operate without interruption or error;
- Gig postings or communications are truthful, complete, accurate, or lawful;
- any minimum number of Gigs or Posting Parties will be available; or
- any Worker will achieve any particular income, rating, or outcome.
16.3 Limitation of Liability
To the maximum extent permitted by applicable law:
- YoZombie’s total cumulative liability to any Worker for any claims arising out of or relating to these Terms, the Platform, or any interaction or transaction between users will not exceed one hundred dollars ($100 USD); and
- YoZombie will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of income, data, goodwill, reputation, or work opportunities, even if advised of the possibility of such damages.
These limitations apply regardless of the legal theory asserted, including negligence, contract, strict liability, or tort.
16.4 Indemnification by Worker
To the fullest extent permitted by applicable law, the Worker agrees to defend, indemnify, and hold harmless YoZombie, its affiliates, and its and their officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to:
- violation of these Terms by the Worker;
- negligent, reckless, or intentional acts or omissions in connection with any Gig;
- disputes between the Worker and any Posting Party or other user; or
- claims that the Worker’s conduct or User Content violated applicable law or third-party rights.
YoZombie reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification, and the Worker agrees to cooperate fully in the defense.
16.5 Survival
Obligations under this Section survive termination, suspension, or expiration of these Terms and remain in effect for as long as necessary to resolve pending claims or disputes.
17. Governing Law and Arbitration
17.1 Governing Law
These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms—including interpretation, performance, breach, enforcement, or validity—are governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict-of-law principles.
For purposes of Platform administration and venue, YoZombie is based in Anne Arundel County, Maryland, and certain Platform administration activities may occur there. Nothing in this subsection is intended to misstate where any Worker or Posting Party is physically located when using the Platform.
17.2 Informal Resolution Required Before Arbitration
Before initiating arbitration, written notice of the dispute must be provided to YoZombie with a reasonable opportunity to resolve it informally. The notice must include: (i) the Worker’s name and Account email, (ii) a description of the dispute, and (iii) the relief requested.
If the dispute is not resolved within thirty (30) days after YoZombie receives notice, either party may initiate arbitration as described below.
17.3 Agreement to Binding Arbitration
Except where prohibited by law, and except for the small-claims exception in Section 17.6 and the equitable relief provision in Section 17.7, all disputes, claims, or controversies arising out of or relating to these Terms, the Platform, or any relationship between the Worker and YoZombie will be resolved exclusively through binding arbitration.
Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules then in effect. Unless the parties agree otherwise, the arbitration will be conducted in Anne Arundel County, Maryland, provided that the arbitrator may permit remote or virtual proceedings where appropriate.
By agreeing to these Terms, the Worker and YoZombie waive the right to a trial by jury and agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
17.4 Arbitration Procedure and Fees
Arbitration will be conducted by a single neutral arbitrator appointed in accordance with AAA rules. Each party will bear its own costs and attorneys’ fees, except that the arbitrator may award fees and costs as permitted by applicable law and the AAA rules.
The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
17.5 Class Action Waiver
All claims must be brought in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.
No arbitration or proceeding may be joined or consolidated with another without the consent of all parties, including YoZombie.
If a court or arbitrator determines that any portion of this class action waiver is unenforceable for a particular claim or request for relief, then that claim or request for relief must be brought in a court of competent jurisdiction (and not in arbitration) and may be stayed pending the outcome of arbitration on remaining claims, as permitted by applicable law.
17.6 Small Claims Exception
Nothing in this Section prevents either party from bringing an individual claim in small claims court in Anne Arundel County, Maryland, provided the claim falls within the court’s monetary limits and remains in small claims court.
17.7 Equitable Relief
Notwithstanding the arbitration agreement, YoZombie may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property, trade secrets, or to prevent unauthorized access, misuse, or data theft involving the Platform.
17.8 Survival
This Section survives termination, suspension, or deletion of a Worker’s Account and continues to govern any dispute that arises after such termination, suspension, or deletion.
18. Updates to Terms
18.1 Right to Modify
YoZombie may update, modify, or replace portions of these Terms to reflect changes in operations, technology, applicable law, or regulatory requirements.
Unless a shorter timeframe is required by law or for safety, fraud-prevention, or security reasons, updates will take effect thirty (30) days after notice is provided through the Platform, by email, or through other reasonable communication channels.
18.2 Notification of Changes
Updates will be posted within the Platform and identified with a “Last Updated” date. If changes materially affect rights or obligations, YoZombie may provide additional notice, which may include an in-app alert, banner, or an acknowledgment prompt before continued use.
18.3 Continued Use Constitutes Acceptance
Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.
If updated Terms are not accepted, use of the Platform must stop, and an Account may be deleted in accordance with Section 14 (Account Deletion).
18.4 Regulatory Compliance Updates
YoZombie may implement updates immediately and without prior notice where required by applicable law, court order, government directive, or where necessary to address safety, security, fraud, or abuse risks. In such cases, notice will be provided as soon as reasonably practicable.
18.5 Historical Recordkeeping
YoZombie may maintain a historical record of prior versions of these Terms for transparency and compliance purposes. Copies of prior versions applicable to a specific period of use may be provided upon reasonable request, subject to verification and administrative limitations.
19. Force Majeure
19.1 Definition
YoZombie is not liable or deemed in default for any failure or delay in performing obligations under these Terms to the extent the failure or delay results from circumstances beyond YoZombie’s reasonable control, including:
- acts of God or natural disasters (for example, fire, flood, earthquake, storm, hurricane, or other severe weather);
- epidemics, pandemics, or public health emergencies;
- war, terrorism, civil unrest, or other civil disturbances;
- power outages or telecommunications failures;
- strikes, labor disputes, or shortages of materials;
- failures or disruptions of third-party service providers (including Stripe, Google, Firebase, hosting providers, or telecommunications carriers);
- government orders, restrictions, or regulatory actions; and/or
- internet, hosting, or system interruptions beyond YoZombie’s reasonable control.
19.2 Effect of Force Majeure Event
During a Force Majeure event:
- YoZombie’s affected obligations will be suspended for the duration of the event to the extent impacted;
- any affected deadlines or service timelines will be extended for a reasonable period after the event ends; and
- YoZombie will make commercially reasonable efforts to resume normal operations as soon as practicable.
19.3 Notification
YoZombie may notify Workers through the Platform or via email as soon as reasonably practicable after becoming aware of a Force Majeure event that materially impacts Platform functionality or payment processing.
19.4 Limitation
Nothing in this Section is intended to excuse or eliminate payment obligations that have already been earned and confirmed in the Platform prior to the Force Majeure event, except to the extent performance is delayed by third-party processing timelines, banking delays, or legal or regulatory restrictions.
All payments processed through Stripe remain subject to Stripe’s operational, compliance, and regulatory frameworks.
20. Severability, Waiver, Entire Agreement, Assignment, and Electronic Consent
20.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision will be severed, and the remaining provisions will continue in full force and effect.
20.2 No Waiver
Failure or delay by YoZombie in exercising any right, remedy, or power under these Terms does not operate as a waiver. Any waiver must be in writing and signed by an authorized representative of YoZombie to be effective.
20.3 Entire Agreement
These Terms, together with the Privacy Policy, Stripe terms applicable to Stripe Connect, and any additional Platform policies, guidelines, or disclosures referenced in these Terms, constitute the entire agreement between the Worker and YoZombie regarding use of the Platform. All prior or contemporaneous oral or written communications, understandings, or agreements are superseded.
Any additional or different terms proposed by a Worker are rejected and will be void unless expressly agreed in a written agreement signed by an authorized representative of YoZombie.
20.4 Assignment
A Worker may not assign, transfer, or sublicense rights or obligations under these Terms without YoZombie’s prior written consent. YoZombie may assign these Terms and any rights or obligations under them to an affiliate, successor, or acquirer in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction.
20.5 Electronic Consent and Communications
Use of the Platform constitutes consent to conduct transactions and receive communications electronically. Electronic notices, agreements, disclosures, and other communications satisfy legal requirements that such communications be in writing.
By clicking “I Agree,” creating an Account, or continuing to use the Platform, the Worker provides an electronic signature and consents to these Terms under applicable electronic transaction laws, including the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Maryland Uniform Electronic Transactions Act.
20.6 Survival
All provisions of these Terms that by their nature should survive termination—including indemnification, limitations of liability, governing law, arbitration, and this Section—survive termination of a Worker’s Account or use of the Platform.
