1. Introduction & Acceptance
These Creator Program Terms ("Creator Terms") govern your participation in the YoZombie Creator Program (the "Program"), operated by YoZombie, L.L.C. ("YoZombie," "we," "us," or "our"). By applying to, being approved for, or participating in the Program, you agree to these Creator Terms, the YoZombie Privacy Policy, and any Program instructions we provide. If you do not agree, do not participate.
These Creator Terms apply only to the Creator Program. They do not replace the separate YoZombie Terms of Service for Businesses, Workers, or Personal Users, which govern those roles.
2. Definitions
- "Creator" (or "you") means an approved participant who promotes YoZombie using a Referral Link.
- "Referral Link" or "Referral Code" means the unique link or code YoZombie issues to you to attribute sign-ups.
- "Referred Worker" means a gig worker who creates a YoZombie Worker account through your Referral Link and is attributed to your account under our attribution rules.
- "Eligible Completed Gig" means a gig performed by a Referred Worker that is completed, confirmed, and paid through the Platform, and that has not been canceled, refunded, reversed, disputed, or flagged as fraudulent or test activity.
- "Referral Payment" means the $2 amount payable to you for each Eligible Completed Gig, funded from YoZombie's platform fee.
3. Eligibility & Approval
Participation is by application and approval only. You must be at least 18 years old, have the legal capacity to enter these Creator Terms, and provide accurate application and payout information. YoZombie may approve, decline, pause, or remove any applicant or Creator at its discretion, including for policy violations, fraud risk, or program fit. Approval is not a guarantee of any earnings.
4. Referral Attribution
A worker is attributed to you only when they sign up through your Referral Link or enter your Referral Code in the manner YoZombie supports, and our systems record that attribution. Attribution is determined solely by YoZombie's records. If a worker could be attributed to more than one Creator, YoZombie's attribution logic controls. Cookies, link behavior, ad blockers, device settings, and re-signups may affect attribution, and YoZombie does not guarantee that any particular sign-up will be attributed to you.
5. Referral Payments
For each Eligible Completed Gig performed by your Referred Workers, you earn a $2 Referral Payment, subject to these Creator Terms. There is currently no cap and no minimum payout threshold. Referral Payments accrue only while the Program remains active and while your account remains in good standing.
6. What Does Not Earn a Referral Payment
No Referral Payment is earned for, and YoZombie may withhold or reverse a Referral Payment tied to, any gig or activity that is:
- canceled, expired, refunded, reversed, charged back, or unpaid;
- fraudulent, fake, self-referred, test, duplicate, incentivized in violation of these Creator Terms, or otherwise manipulated;
- performed by a worker who is not validly attributed to you, or whose account or gig is under review; or
- determined by YoZombie, in good faith, not to be an Eligible Completed Gig.
7. Prohibited Conduct
You may not:
- refer yourself, create accounts to refer yourself, or coordinate self-referrals or fake sign-ups or gigs;
- use bots, scripts, spam, misleading claims, incentivized-signup schemes, or deceptive promotion;
- misrepresent YoZombie, its pricing, its legal status, or worker or business obligations;
- promote YoZombie through unlawful, discriminatory, harassing, adult, or misleading content, or spam channels;
- bid on or use YoZombie trademarks in a way that is deceptive or violates our brand guidelines; or
- interfere with the Platform, payment systems, or attribution or fraud controls.
Violations may result in withheld or reversed Referral Payments, suspension, or removal from the Program.
8. Required FTC-Style Disclosure
You may not present yourself as an employee, agent, or spokesperson of YoZombie, or make claims or promises on YoZombie's behalf that are not authorized in writing.
9. Payouts, Stripe & Taxes
Referral Payments are processed through Stripe / Stripe Connect. To receive payouts you must set up and maintain a connected payout account and provide the information Stripe or YoZombie requires (which may include a W-9 or other tax information). Payout timing depends on Stripe, your account's payout schedule, and your bank.
You participate as an independent partner, not a YoZombie employee, agent, or contractor for employment purposes. You are solely responsible for your own taxes. YoZombie does not withhold taxes from Referral Payments. Where required, Stripe or YoZombie may issue a Form 1099-NEC or other tax document if your earnings reach the applicable reporting threshold. Consult your own tax advisor.
10. Reversals & Clawbacks
If a Referral Payment was paid on a gig or activity that is later canceled, refunded, reversed, charged back, or found to be fraudulent, ineligible, or in violation of these Creator Terms, YoZombie may reverse the payment, offset it against future Referral Payments, or, where permitted by law, recover it. Referral Payments already properly earned on Eligible Completed Gigs are not clawed back solely because you later leave the Program, unless fraud or a violation is involved.
11. Account Deletion, Suspension & Termination
You or YoZombie may end your participation at any time. If your Creator or payout account is deleted, suspended, or removed, future Referral Payments stop accruing and any unpaid amounts tied to ineligible, unverified, or fraudulent activity are forfeited and revert to YoZombie. Properly earned, verified Referral Payments already payable to you are handled through your payout setup, subject to Stripe requirements and applicable law.
12. Program Changes & Availability
The Program is offered at YoZombie's discretion. YoZombie may add, change, pause, limit, or discontinue the Program, the $2 rate, eligibility rules, attribution logic, or these Creator Terms at any time, with notice where required by law. Referral Payments accrue only for Eligible Completed Gigs occurring while the Program is active and you are an approved participant in good standing. The Program is not a guarantee of income.
13. Brand & Intellectual Property
Subject to these Creator Terms and any brand guidelines we provide, YoZombie grants you a limited, revocable, non-exclusive, non-transferable license to use YoZombie names, logos, and approved marketing materials solely to promote YoZombie during your participation. You gain no ownership of YoZombie intellectual property, and all goodwill inures to YoZombie. We may revoke this license at any time.
14. Disclaimers & Limitation of Liability
The Program and Platform are provided "as is" and "as available," without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law, YoZombie's total cumulative liability arising out of or relating to the Program will not exceed the greater of the Referral Payments paid to you in the preceding twelve (12) months or one hundred dollars ($100), and YoZombie will not be liable for indirect, incidental, consequential, special, or punitive damages, including lost or expected referral earnings.
15. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless YoZombie and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your promotion of YoZombie, your content, your failure to disclose the relationship as required, your violation of these Creator Terms or applicable law, or your account activity.
16. Governing Law & Dispute Resolution
These Creator Terms are governed by the laws of the State of Maryland, without regard to conflict-of-laws principles, and the Federal Arbitration Act governs any arbitration provisions. Except where prohibited by law, disputes between you and YoZombie relating to the Program will be resolved by binding individual arbitration, and you and YoZombie waive the right to a jury trial and to participate in a class, collective, or representative proceeding, consistent with the arbitration and class-waiver framework used in YoZombie's other Terms of Service. Either party may bring a qualifying individual claim in small claims court.
17. Changes to These Creator Terms
YoZombie may update these Creator Terms from time to time. Material changes take effect as stated in the notice or, if none, when posted with an updated "Last Updated" date. Continued participation after the effective date constitutes acceptance.
